New Restrictions in US Foreign Investment in Critical Technologies

On August 13, 2018, the president signed the Foreign Investment Risk Review Modernization Act (FIRRMA) into law, which is expected to significantly impact national security reviews of foreign investment into the United States, particularly for certain US businesses involved in “critical technologies.” The law will affect a broad range of Bay Area companies, particularly high-tech companies, companies working on technology with defense and security applications, VC firms (especially those with foreign LPs), private equity funds (also with foreign partners), and real estate firms.

Please join us as our panelists (including a former government official who led national security reviews of foreign investment and former military personnel with insight into the changing framework of national security) share their insights about how FIRRMA is changing the landscape for foreign investment in the Bay Area.

We will discuss the expansion of coverage of transactions subject to review by the Committee on Foreign Investment in the United States (CFIUS), the mandatory declaration process, changes in procedures for notification and submissions, strengthened sanctions for violations of those procedures, and enhanced criteria to be applied by CFIUS to review proposed transactions, particularly investments from China and Russia. Learn how CFIUS extends to foreign investment involving emerging and foundational technology, and how this reach is expected to affect investors, timing of investments, and planning for growth across key technologies such as AI, robotics, nanotechnology, semiconductors, and related industries.
