Corporate governance has long been a subject of interest to western companies trying to understand – and participate in – Japan’s business environment. In recent decades this is a subject that has received particular attention from foreign investors in Japanese enterprises, including those seeking to acquire Japanese companies or even just be given a voice commensurate to their shareholdings.

Employment is another subject that has long been of interest, not just to companies trying to do business in Japan, but also to sociologists, anthropologists and others interested in how work culture manifests itself in daily life. Colin P. A. Jones will give an overview of both subjects through the lens of law, offering a unique and practical perspective on how the two are actually closely linked.

Employment Regulation and Japanese Corporate Governance 1Colin P.A. Jones | Professor, Doshisha University

Colin P.A. Jones is a professor at Doshisha University in Kyoto specializing in comparative law with a focus on the Japanese legal system. In addition to his popular columns in the Japan Times, Colin has published widely in both Japanese and English, including co-authoring one of the leading treatises on the Japanese legal system and more recently the very first complete English annotation of the Japanese constitution.
In addition to his professorship, Colin is a practicing lawyer with three decades experience in cross-border commercial transactions and sitting on company boards, including Japanese public companies.
His talk will focus on the important but often underemphasized relationship between employment regulation and corporate governance in Japan.

For over a decade, David Makman specialized in patent and intellectual property litigation. He has experience in high stakes patent infringement litigations involving electronics, semiconductor manufacturing, software, and other technologies. Around 2007, he expanded his practice and has been handling commercial litigation and disputes relating to corporate governance primarily involving startups and member-managed LLCs. Mr. Makman is bilingual; he reads and speaks Japanese. He has a great deal of experience in international arbitration and in litigating complex issues involving conflicts of law.

Mr. Makman is a former Chairman of the Board of the Japan Society of Northern California. He is currently on the board of the Momental Foundation.

Prior to becoming an attorney, Mr. Makman worked for several years for Matrix Kabushiki Kaisha in Tokyo marketing U.S. software products to Japanese companies. In Japan, Mr. Makman represented companies marketing AI, CAD CASE and object oriented software.
